1. Agreement to Terms
By accessing or using the Axis Digital platform ("Service") at axisdigital.ai or axis.wildbirdscolorado.com, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Service
Axis Digital is a store management platform designed for retail franchise operations. The Service provides:
- Sales dashboards and analytics
- Inventory monitoring and low stock alerts
- Employee scheduling
- Cash flow management and banking statement processing
- QuickBooks Online reconciliation
- Digital signage management
- ERPLY report automation and ETL processing
- Supplier order management and repricing tools
3. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must:
- Provide accurate information when creating an account
- Notify us immediately of any unauthorized access
- Not share login credentials with unauthorized individuals
- Not create accounts for anyone other than authorized employees of your business
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payment
The Service is offered on a monthly subscription basis. By subscribing, you agree to:
- Pay the applicable fees for your selected plan
- Provide valid payment information
- Accept that fees are billed in advance on a monthly basis
- Understand that subscription fees are non-refundable for partial months
We may change pricing with 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.
5. Your Data
You own your data. All business data you upload or generate through the Service (sales records, inventory data, schedules, banking statements, etc.) belongs to you. We do not claim any ownership rights over your content.
You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service. This license ends when you terminate your account.
You are responsible for the accuracy and legality of the data you upload to the Service.
6. Third-Party Integrations
The Service integrates with third-party platforms including ERPLY, QuickBooks Online, and Wild Birds Unlimited systems. When using these integrations:
- You authorize us to access your data on those platforms as needed to provide the integration
- You are responsible for maintaining valid credentials and permissions with those platforms
- We are not responsible for changes, outages, or data issues caused by third-party services
- You may disconnect any integration at any time through the Service settings
Your use of third-party services is also subject to their respective terms of service and privacy policies.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to other users' data or accounts
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape or extract data from the Service beyond its intended APIs
- Upload malicious files, scripts, or content
- Resell or redistribute access to the Service without written permission
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice)
- Emergency maintenance or security patches
- Factors beyond our control (network outages, hosting provider issues)
We are not liable for any losses resulting from service interruptions.
9. Data Security
We implement commercially reasonable security measures to protect your data, including encryption, access controls, and regular security assessments. However, no system is completely secure, and we cannot guarantee absolute security. See our Privacy Policy for details on our data handling practices.
10. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Axis Digital and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from use of the Service shall not exceed the fees you paid in the 12 months preceding the claim
- We are not responsible for decisions made based on data or reports generated by the Service
12. Indemnification
You agree to indemnify and hold Axis Digital harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
13. Termination
Either party may terminate this agreement at any time:
- By you: Cancel your subscription through your account settings or by contacting us. Access continues through the end of your current billing period.
- By us: We may terminate or suspend your account for violation of these Terms, with notice where practicable.
Upon termination, you may request an export of your data within 30 days. After 90 days, your data will be deleted in accordance with our Privacy Policy.
14. Dispute Resolution
Any disputes arising from these Terms or the Service will be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in the state of Colorado, USA, under the rules of the American Arbitration Association.
15. Changes to Terms
We may update these Terms from time to time. We will notify active users of material changes via email or in-app notification at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles.
